Guantao Shenzhen advises the University of Hong Kong on its investment in Dongguan Qingshuiwan Phase II Fund
Recently, the University of Hong Kong completed the investment in Dongguan Qingshuiwan Phase II Venture Capital Partnership (Limited Partnership) (“Dongguan Qingshuiwan Phase II Fund”/the “Fund”). Guantao Shenzhen served as the legal advisor to the University of Hong Kong, providing legal services for its investment in this fund.
Before this round of capital increase, the shareholders of the Dongguan Qingshuiwan Phase II Fund included Dongguan Industrial Investment Fund Co., Ltd., Shenzhen Tencent Industrial Investment Fund Co., Ltd., Sequoia Jingyao (Xiamen) Equity Investment Partnership (Limited Partnership, and Professor Zexiang Li, who is known as “the Godfather of DJI”, etc. Zexiang Li holds 7.0103% of Dongguan Qingshuiwan Phase II Fund, making him the actual controlling person of the fund. In addition, the executive partner of the fund is Zhuhai Yuewan Huasheng Fund Management Co., Ltd., and the business scope of the fund includes venture capital (limited to investing in unlisted enterprises) and equity investment, investment management, asset management and other activities through private equity funds. According to the public information, Dongguan Qingshuiwan Phase II Fund has participated in 25 investment events, and the projects are mostly in areas such as new-generation information technology and high-end manufacturing industry. The invested enterprises are mainly concentrated in Guangdong and Jiangsu provinces, with most projects involving small and medium-sized enterprises and often at earlier stages of development. In this round of capital increase, the University of Hong Kong contributes RMB70 million and holds 9.622% of Dongguan Qingshuiwan Phase II Fund after the investment. After this round of capital increase, the registered capital of the fund reached RMB727.5 million, becoming an important force in the integration of industry, academia, and research in the Greater Bay Area.
The deal was led by Ms. Ying Yin (partner), with team members including Mr. Yanhua Tan (partner), Ms. Yuan Sun (attorney), and Qiaoli Wang (trainee lawyer). Guantao work for this deal includes providing legal opinion on the compliance of the fund's structure, drafting, reviewing, and revising legal documents related to this deal, and assisting in transaction negotiations.
